Subscription Terms

SUBSCRIPTION TERMS

1. Introduction

These Subscription Terms govern all subscription plans offered by AYKA CLYVORA PRIVATE LIMITED ("AYKA") to Experts, Establishments, Alliance Partners, and other Users on the AYKA Care platform. By subscribing to any AYKA plan, you agree to be bound by these Subscription Terms, together with AYKA's Terms and Conditions, Payment Policy, and Refund Policy, all of which are incorporated herein by reference.

2. Available Subscription Plans

2.1 Expert Subscription Plans

2.1.1 Expert Free Plan

No upfront subscription fee.

AYKA deducts a 50% platform commission on each sale (consultation, home visit, or other service booked through AYKA).

Basic platform features and profile listing included.

2.1.2 Expert Paid Plan

Upfront subscription fee payable (pricing as displayed on the AYKA platform at the time of subscription).

AYKA deducts a 20% platform commission on each sale.

Enhanced features including priority profile listing, increased visibility, and marketing support.

2.1.3 Career Subscription Plan

One-time subscription fee for Experts seeking career and job placement opportunities through AYKA.

Expert profile listed in AYKA's Career Section with access to third-party job listings.

Commission may apply on successful job placements as per the applicable placement commission schedule.

AYKA does not guarantee job placement. Hiring decisions are made exclusively by third-party employers.

2.2 Establishment Subscription Plans

2.2.1 Establishment Free Plan

No upfront subscription fee.

AYKA deducts a 50% platform commission on each online booking made through the AYKA platform.

Basic clinic profile listing and booking management access.

2.2.2 Establishment Paid Plan

Upfront subscription fee payable (pricing as displayed on the AYKA platform at the time of subscription).

AYKA deducts a 20% platform commission on each online booking.

Enhanced features including priority listing, patient management tools, marketing support, and insurance and lab integrations.

2.3 Alliance / Franchise Partner Plans

Alliance Partner subscription terms and fees are governed by the AYKA Alliance Agreement executed between the Alliance Partner and AYKA, and may differ from standard subscription plans.

3. Payment, Billing, and Non-Refundability

All subscription fees must be paid in advance through AYKA's integrated payment system in Indian Rupees (INR).

Subscription fees are strictly non-refundable and non-cancellable once payment is processed.

No partial refunds will be issued for any unused portion of a subscription period, regardless of reason.

Paid subscriptions auto-renew at the end of each billing cycle unless cancelled in writing before the renewal date.

AYKA reserves the right to revise subscription fees and commission rates at any time. Updated pricing will be published on the platform. Users who do not agree with a fee change may cancel their subscription before the next renewal date; continued use after the renewal date constitutes acceptance of the revised fees.

4. Service Discontinuation

If AYKA discontinues a specific subscription plan, affected subscribers will be notified in advance via email and/or platform notification. In such cases, AYKA may, at its sole and absolute discretion, offer an equivalent alternative plan or a pro-rated credit for the unused subscription period. AYKA is not obligated to issue a cash refund in the event of plan discontinuation.

5. User Responsibilities

Experts and Establishments must provide accurate, complete, and up-to-date information on their AYKA profiles, including professional qualifications, registration details, and service listings.

Misrepresentation of qualifications, credentials, services, or pricing constitutes a material breach of these Terms and may result in immediate account suspension without refund.

Experts must comply with all applicable Indian medical laws, regulations, and ethical guidelines while offering services through AYKA.

Establishments must maintain compliance with all applicable healthcare facility regulations, hygiene standards, and licensing requirements.

6. Suspension and Termination of Subscriptions

AYKA reserves the right to suspend or terminate any subscription, with or without prior notice, in cases including:

Breach of these Subscription Terms or any AYKA policy

Non-payment of applicable subscription fees or commissions

Fraudulent activity, misrepresentation, or identity fraud

Violation of AYKA's Zero Tolerance Policy

Conduct harmful to Users, other Service Providers, or AYKA

No refund of subscription fees shall be issued upon termination for any of the above reasons.

7. Limitation of Liability

AYKA is a facilitator and aggregator platform. AYKA does not guarantee a minimum number of bookings, consultations, or earnings for any Expert or Establishment. AYKA is not liable for any loss of income, business opportunity, or other damages arising from use of the platform or any subscription plan.

8. Governing Law and Dispute Resolution

These Subscription Terms are governed by the laws of India. Disputes shall be resolved in accordance with the dispute resolution provisions of AYKA's Terms and Conditions. The courts of Saharanpur, Uttar Pradesh, India shall have exclusive jurisdiction.
